Please read these terms carefully before using Repline. By accessing or using our platform, you agree to be bound by these terms.
1. Acceptance of terms
By creating an account, accessing, or using the Repline platform (the "Service"), you ("User," "you," or "your") agree to these Terms & Conditions ("Terms") and our Privacy Policy. If you are using Repline on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to any part of these Terms, you must not use the Service.
2. Description of service
Repline provides a platform that enables users to manage, automate, and analyse customer communications and support workflows. The Service may include features such as inbox management, automated replies, analytics dashboards, and integrations with third-party platforms.
Repline reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account registration
To use Repline, you must register for an account and provide accurate, current, and complete information. You are responsible for:
Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Notifying Repline immediately at security@repline.com of any unauthorised access or security breach
You must be at least 18 years of age to create an account. Accounts may not be shared, transferred, or sold to third parties.
4. Acceptable use
You agree to use Repline only for lawful purposes and in accordance with these Terms. You must not:
Use the Service to send spam, unsolicited messages, or deceptive communications
Impersonate any person or entity, or misrepresent your affiliation with any party
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorised access to any part of the Service or its infrastructure
Scrape, copy, or extract data from the Service without prior written consent
Use the Service in any way that violates applicable laws or regulations
Resell or commercially exploit the Service without Repline's written permission
Repline reserves the right to suspend or terminate accounts found in violation of this section without prior notice.
5. Subscription & billing
Repline offers three paid subscription plans. All prices are in euros (€) and are billed on a monthly basis unless otherwise agreed in writing.

Each plan includes a monthly email allowance as specified at the time of purchase. If your usage exceeds this allowance, overage charges will apply at the per-email rate for your plan and will be billed at the end of your billing cycle.
Billing cycle: Subscriptions are billed monthly on the anniversary of your sign-up date. You authorise Repline to charge your payment method automatically at the start of each billing period.
Overages: Overage charges are calculated based on actual usage above your plan's included email volume and added to your next invoice. Repline will endeavour to notify you when you approach your limit.
Plan changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle.
Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period — no partial refunds are issued unless required by applicable law.
Price changes: Repline may change subscription prices with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Taxes: All prices are exclusive of applicable taxes (including VAT), which will be added where required by law.
Unpaid invoices may result in suspension or termination of your account. Repline reserves the right to charge interest on overdue amounts at the maximum rate permitted by applicable law.
There's the updated section 5 with your three tiers displayed clearly. A couple of things worth confirming so the language stays accurate:
Email allowance — each plan says "+ extra email" implying a base volume is included. You'll want to fill in what that included volume is (e.g. "up to 1,000 emails/month") so users know when overages kick in.
VAT handling — since you're pricing in euros, if you're EU-based you'll likely need to handle VAT collection. Worth confirming with your accountant whether prices should be stated as "excl. VAT" or "incl. VAT" depending on your target market (B2B vs B2C).
6. Intellectual property
All content, features, and functionality of the Repline platform — including but not limited to software, designs, text, graphics, and trademarks — are the exclusive property of NEWRISE L.L.C-FZ and its licensors, and are protected by applicable intellectual property laws.
You retain ownership of any content you upload or create through the Service ("User Content"). By submitting User Content, you grant Repline a limited, non-exclusive, royalty-free licence to use, store, and process your content solely to provide and improve the Service.
You must not copy, modify, distribute, or create derivative works based on Repline's proprietary materials without express written permission.
7. Data & privacy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using Repline, you consent to the practices described therein.
You are responsible for ensuring that any personal data you process through Repline — including data belonging to your customers or team members — is handled in compliance with applicable data protection laws, including the GDPR where applicable.
8. Disclaimers & limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Repline does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
To the maximum extent permitted by law, NEWRISE L.L.C-FZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service — including loss of data, revenue, or profits — even if Repline has been advised of the possibility of such damages.
NEWRISE L.L.C-FZ's total liability to you for any claim arising under these Terms shall not exceed the amount you paid to Repline in the 12 months preceding the claim.
9. Termination
Either party may terminate these Terms at any time. Repline may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or if required to do so by law.
Upon termination, your right to access the Service ceases immediately. Repline will retain your data for a period of 30 days following termination, after which it may be permanently deleted. You are responsible for exporting any data you wish to retain before termination.
10. Changes to these terms
Repline may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
11. Governing law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE. If you are a consumer located in a jurisdiction that grants mandatory local consumer protections, those protections are not affected by this clause.
The Service is operated by NEWRISE L.L.C-FZ, a free zone limited liability company registered and operating under the laws of the Meydan Free Zone, Dubai, United Arab Emirates.
